Director Addition
A new director can be appointed to the board through a board resolution (for additional directors) or ordinary resolution at a general meeting (for regular appointment). The new director must have a valid DIN and DSC. Form DIR-12 must be filed with MCA within 30 days of appointment.
Important Points:
- New director must obtain DIN (DIR-3) and DSC before appointment
- Board resolution for additional directors; ordinary resolution for regular appointment
- File DIR-12 within 30 days of appointment
- At least 1 director must be an Indian resident (stayed in India for 182+ days)
