Dematerialisation of Shares (DEMAT)

Dematerialisation is the process of converting physical share certificates into electronic form held in a demat account. As per recent MCA amendments, all private limited companies (except small companies) must issue securities in demat form. This facilitates easier share transfers, reduces fraud, and aligns with SEBI and depository requirements.

  • Mandatory for all private companies except small companies (as per MCA amendment)
  • Shares converted from physical certificates to electronic form in demat account
  • Requires ISIN (International Securities Identification Number) from NSDL/CDSL
  • File PAS-6 with MCA semi-annually reporting demat status
