Company Name Change

A company can change its name by passing a special resolution (75% majority) in a general meeting and filing Form INC-24 with the MCA. The new name must be unique, not identical or similar to existing names, and must comply with MCA naming guidelines. The ROC issues a new Certificate of Incorporation with the updated name.

Important Points:

  • Requires special resolution (75% majority in general meeting)
  • Name availability check and approval via RUN form
  • Filing of INC-24 with MCA along with special resolution
  • New Certificate of Incorporation issued by ROC
  • All documents, letterheads, and registrations must be updated
