A Section 8 Company under the Companies Act, 2013 is a non-profit company formed for promoting commerce, art, science, sports, education, research, social welfare, religion, charity, or environmental protection. Unlike trusts and societies, a Section 8 Company has a more structured governance framework with mandatory compliance under the Companies Act.
Important Points:
- Minimum 2 directors and 2 shareholders (similar to Private Limited Company)
- Profits must be applied towards promoting its objects – no dividend distribution
- Name can end with Foundation, Association, Forum, etc. (no need for “Private Limited”)
- Higher credibility for receiving CSR funds and foreign donations
- Registration timeline: 15–25 working days
